1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Hariyali Enterprise ("Company", "we", "us", or "our") regarding your use of the Challan Book software platform, website, mobile application, and related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Challan Book is a cloud-based and on-premise software solution designed for corrugated box manufacturers. Our Services include:

  • Delivery challan generation and management
  • Box test report creation (Certificate of Analysis)
  • Stock and inventory management
  • Proof of Delivery (POD) tracking with cloud storage
  • Business analytics and reporting
  • Android mobile application for field operations
  • White-label customization options

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

3. Account Registration and Security

3.1 Account Creation

To use Challan Book, you must create an account by providing accurate, current, and complete information. You agree to update your information promptly if it changes. We reserve the right to suspend or terminate accounts with inaccurate information.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:

  • Notify us immediately of any unauthorized access or security breach
  • Ensure all users under your account comply with these Terms
  • Not share login credentials between users (each user must have their own account)
  • Log out of your account at the end of each session, especially on shared devices

Hariyali Enterprise is not liable for any loss or damage arising from your failure to comply with these security obligations.

4. Subscription Plans and Payments

4.1 Plan Types

We offer the following types of plans:

  • Yearly Plans (SaaS): Cloud-hosted subscription billed annually. Includes Super (₹4,999/year) and Enterprise (₹7,999/year).
  • One-Time Purchase (Lifetime): Lifetime license with a single upfront payment. Software hosted on our secure servers. Includes Super Lifetime (₹14,999) and Enterprise Lifetime (₹24,999).

4.2 Payment Terms

  • All prices are in Indian Rupees (INR) and exclusive of GST. 18% GST will be added to all invoices.
  • Yearly plans are billed in advance for the full subscription period.
  • One-Time purchases require full payment before software delivery and installation.
  • Payments can be made via bank transfer, UPI, or other methods as communicated during onboarding.
  • Failure to pay renewal fees for Yearly plans may result in account suspension after a 7-day grace period.

4.3 Maintenance Fees (One-Time Plans)

One-Time license holders must pay an annual maintenance fee of ₹1,500/year (Super) or ₹1,999/year (Enterprise) to receive software updates, technical support, and priority server resources. While the software will continue to function without maintenance, you will not receive updates or support.

5. License and Usage Rights

5.1 Software License

Subject to your compliance with these Terms, Hariyali Enterprise grants you a limited, non-exclusive, non-transferable license to use the Challan Book software solely for your internal business operations.

5.2 Restrictions

You may not:

  • Copy, modify, translate, or create derivative works of the software
  • Reverse engineer, decompile, or disassemble the software
  • Rent, lease, lend, sell, sublicense, or distribute the software to third parties
  • Remove any proprietary notices or labels from the software
  • Use the software for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Services

5.3 White-Label Usage

Super and Enterprise plan customers may white-label Challan Book with their own branding. However, you may not claim ownership of the underlying software, remove "Powered by Challan Book" from internal screens (if present), or resell the software under your own name without explicit written permission.

6. Data Ownership

6.1 Your Data

You retain all ownership rights to the business data you enter into Challan Book, including party information, challan records, stock data, and POD files. We claim no ownership over your business data.

6.2 Our Data

Hariyali Enterprise retains all rights, title, and interest in and to the Challan Book software, including all intellectual property rights. Nothing in these Terms grants you any rights to our trademarks, logos, or proprietary technology.

6.3 Data Export

You may export your data from Challan Book at any time through the built-in export features. We will assist with data export upon account cancellation, subject to reasonable timeframes and technical limitations.

7. Service Level and Support

7.1 Uptime Commitment

For Yearly (SaaS) customers, we target 99% uptime for the cloud-hosted Services, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance.

7.2 Support Channels

  • Super Plan: WhatsApp + Email support (response within 12 hours)
  • Enterprise Plan: Phone + WhatsApp + Email support (response within 4 hours)

7.3 Limitations

Support does not include:

  • Custom software development or feature requests outside the product roadmap
  • Training for users beyond the initial onboarding session
  • Data recovery from user errors or accidental deletions (unless cloud backup is active)
  • Integration with third-party systems not officially supported

8. Termination

8.1 By You

You may cancel your Yearly subscription at any time by providing written notice to info@hariyalienterprise.com. No refunds will be provided for partial months or unused subscription periods.

8.2 By Us

We may suspend or terminate your account immediately if:

  • You violate any provision of these Terms
  • Your payment is overdue by more than 15 days
  • Your use of the Services poses a security risk or legal liability
  • You engage in fraudulent or illegal activities

Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days after termination, after which it will be permanently deleted unless legal obligations require longer retention.

9. Disclaimers and Limitations

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HARIYALI ENTERPRISE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HARIYALI ENTERPRISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claim arising under these Terms shall not exceed the total amount you paid to us in the 12 months preceding the event giving rise to liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless Hariyali Enterprise and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any content or data you submit to the Services

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be subject to binding arbitration in Gujarat, India, in accordance with the Arbitration and Conciliation Act, 1996.

12. Changes to Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. Material changes will be communicated via email at least 15 days before taking effect. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
